Gurugram, India, June 23, 2025: Sona Comstar, has appointed Mr. Jeffrey Mark Overly as the Chairman of the Company. Mr. Overly has served as an Independent Director on the Company’s Board since 12 February 2021.

With nearly five years on the Board, Mr. Overly has demonstrated unwavering commitment, maintaining a perfect attendance record at all Board and Committee meetings. His active participation and insightful contributions—despite operating from a different time zone—have been instrumental in the Company’s governance and strategic decision-making.

Mr. Overly holds a Bachelor of Science in Industrial Management from the University of Cincinnati and a Master’s degree in Business from Central Michigan University. He brings with him over 43 years of operational leadership experience.

Prior to his retirement in 2018, Mr. Overly was an Operating Partner in the Corporate Private Equity Group at Blackstone Group, New York. Post-retirement, he has continued to support Blackstone by serving on the boards of several portfolio companies, focusing on operational excellence, supply chain optimization, and strategic development.

Earlier in his career, Mr. Overly served as Vice President – Global Fixture Operations at Kohler Company, overseeing global manufacturing and supply chain functions. Before Kohler, he spent 25 years at General Motors Corporation and Delphi Corporation, holding various senior roles in operations and engineering with global responsibilities.

In addition to his role with the Company, Mr. Overly also serves as an Independent Director on the boards of Performance Food Group, Fortrex, Inc. Ltd. (formerly Packer Sanitation Services Inc.), Comstar Automotive USA LLC (a wholly owned subsidiary of the Company), Sabre Industries, Inc., and Supply One, Inc.
